Terms of Service Agreement

This Universal Terms of Service Agreement (this “Agreement”) is entered into by and between Complete Network, Inc. (including its formalized divisions) and you, and is made effective as of the date of your use of this website ("Site") or the date of electronic acceptance. This Agreement sets forth the general terms and conditions of your use of the Site and the products and services purchased or accessed through this Site (individually and collectively, the “Services”), and is in addition to (not in lieu of) any specific terms and conditions that apply to the particular Services. Regardless of whether you are simply browsing or using this Site or purchase Services, your use of this Site and your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge and agree to be bound by this Agreement.

Complete Network, Inc. provides Services to clients all around the world. Therefore, Complete Network, Inc. (including, but not limited to our PlatformGear Division, PlatformHost Division and PlatformRep Division) has the responsibility to protect each client and to provide our clients with the best Services available. Client is defined as any website visitor, customer, member, subscriber, or user of Complete Network, Inc.’s products and/or services (including, but not limited to, a person visiting any of our website(s) and/or online location(s) for which Complete Network, Inc. owns the domain name of, wrote the programming code for, or otherwise has any interest in).

The terms “CNI”, “we”, “us” or “our” shall refer to Complete Network, Inc. The terms “PlatformHost member”, “you”, “your”, “client”, “user” or “customer” shall refer to any individual or entity who accepts this Agreement, has access to your account, uses the Services or visits this Site. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.

Complete Network, Inc. may, in its sole and absolute discretion, change or modify this Agreement, and any policies or agreements which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to this Site. Your use of this Site or the Services after such changes or modifications have been made shall constitute your acceptance of this Agreement as last revised. If you do not agree to be bound by this Agreement as last revised, do not use (or continue to use) this Site or the Services.

All Services provided by Complete Network, Inc. may be used for lawful purposes only. Transmission, storage, or presentation of any information, data or material in violation of any United States Federal, State or City law is strictly prohibited. This includes, but is not limited to: copyrighted material, material that we judge to be threatening or obscene, unlicensed software or files, or material protected by trade secret and/or other statue. The client agrees to indemnify and hold harmless Complete Network, Inc. from any claims resulting from the use of the Services which damages the client or any other party.

Examples of non-acceptable activity, content or links:

  •   Child pornography
  •   Hackers’ programs or archives
  •   Hate sites [regardless of whether aimed at an individual or a particular group]
  •   Illegal .mp3 files
  •   Pirated software
  •   Spam-related activities
  •   Warez sites
In addition, the websites, graphics, images, logos, reports, slogans, taglines, videos, and all other property that are owned by Complete Network, Inc. solely belong to Complete Network, Inc. Unless written authorization has been expressly given by those authorized to represent Complete Network, Inc., client may not print, reproduce, electronically publish, display, distribute, sell or make available to others any website, web page, web page content, web page text, programming code, programming script, database elements, mailing list services components, graphic, image, audio clip, video clip, video snip-its or any other item that is owned by Complete Network, Inc., including its divisions and business units. Complete Network, Inc., in its sole and absolute discretion, will determine what constitutes a violation of this provision.

Unlimited Traffic/Hits and Server Resource Usage:
Complete Network, Inc. is pleased to offer our clients unlimited traffic/hits, and server usage. Unlimited traffic/hits is defined as the number of visitors to your website, NOT the amount of bandwidth/data transfer. Your account is still limited to the allotted bandwidth/data transfer included with your selected PlatformHost account level. In order to maintain the integrity of our service, fair usage limitations may apply (including, but not limited to the following types of activities):

  •   Sites with banners, graphics, hotlinking or cgi’s running from their domain being used on other domains
  •   Sites with immense graphic archives or galleries
  •   Sites offering immense download archives, such as .zip, .tar, .ra, and .gz
  •   Sites running large chat room gatherings
  •   Sites using more than 20% of their server resources (involving but not limited to extreme resource usage spikes)
  •   Clients may not install electronic ping mechanisms or programs to resolve security encryption
If your account does not qualify for unlimited traffic/hits, your account may be required to be upgraded, or, Complete Network, Inc. may move your site to a different server to reduce the load on the server you are currently residing on. Complete Network, Inc. will, in its sole and absolute discretion, determine what constitutes a violation of fair usage limitations.

Bandwidth/data transfer will go unmonitored until you reach your account limit, Then, normal over-usage data transfer costs will apply. At any time, Complete Network, Inc. may move your site to a different server to reduce the load on the server you are currently residing on.

Background Processes/Programs:
Complete Network, Inc. may allow programs to continually run in the background. These are considered on a one to one basis and an extra charge may be incurred based on system resources used and operational maintenance needed.

Chat Rooms:
Complete Network, Inc. allows our clients to install their own chat rooms. However, chat rooms do tend to be large system hogs and may fall into the fair usage limitations’ clause. You are free to run your own chat script, as long as it does not hinder server performance.

Cron Jobs:
Complete Network, Inc. allows Cron Jobs to be conducted on our servers. Whether or not you are able to set up and run cron jobs will depend upon the PlatformHost account level you signed up for.

Idle Timeouts:
Complete Network, Inc. may disconnect any idle connection to the network. Average timeouts for FTP are after 300 seconds or more and after two hours for Telnet.

You agree to protect, defend, indemnify and hold harmless Complete Network, Inc. and its officers, directors, employees, contractors, affiliates and agents, from and against any and all claims, demands, costs, expenses, losses, liabilities and damages of every kind and nature (including, without limitation, reasonable attorneys’ fees) imposed upon or incurred by Complete Network, Inc. directly or indirectly arising from (i) your use of and access to this Site or the Services found at this Site; (ii) your violation of any provision of this Agreement or the policies or agreements which are incorporated herein; and/or (iii) your violation of any third-party right, including without limitation any intellectual property or other proprietary right. The indemnification obligations under this section shall survive any termination or expiration of this Agreement or your use of this Site or the Services found at this Site.

Force Majeure:
No party will be liable for any failure or delay in performance of any of its obligations hereunder if such delay is due to acts of God, fires, flood, storm, explosions, earthquakes, general Internet outages, acts of war or terrorism, riots, insurrection or intervention of any government or authority; provided, however, that any such delay or failure will be remedied by such party as soon as reasonably possible. Upon the occurrence of a force majeure event, the party unable to perform will, if and as soon as possible, provide written notice to the other parties indicating that a force majeure event occurred and detailing how such force majeure event impacts the performance of its obligations.

Independent Contractors:
It is the intention of the parties that Complete Network, Inc. and you are, and will be deemed to be, independent contractors with respect to the subject matter of this Agreement, and nothing contained in this Agreement will be deemed or construed in any manner whatsoever as creating any partnership, joint venture, employment, agency, fiduciary or other similar relationship between Complete Network, Inc. and you.

Choice of Law; Venue; Jurisdiction:
This Agreement will be governed by and interpreted in accordance with the laws of the State of Texas without regard to the conflicts of laws principles thereof. Any dispute or claim arising out of or in connection with the Agreement shall be finally settled and exclusively by the state or federal courts with respect to where Complete Network, Inc. is located. For purposes of this Agreement, you and Complete Network, Inc. hereby irrevocably consent to this exclusive personal jurisdiction and venue in the federal and state courts.

Entire Agreement:
This Agreement, together with all Exhibits hereto, represents the entire agreement between the parties with respect to the subject matter hereof and thereof and will supersede all prior agreements and communications of the parties, oral or written.

Amendment or Modification:
This Agreement may not be amended, modified or supplemented by the parties in any manner, except by an instrument in writing signed by Complete Network, Inc.

Complete Network, Inc. currently does not allow IRC or IRC bots to be operated on our servers.

Multiple Connections:
Multiple telnet and ftp sessions are allowed for a single PlatformHost account if these services are included as features of the PlatformHost account level you signed up for.

No Third-Party Beneficiaries:
This Agreement is made for the benefit of the parties only, and this Agreement is not for the benefit of, and was not created for the benefit of, any third parties including, without limitation, any Third Party Users.

Export Controls:
The parties agree to comply fully with all Applicable Laws of the United States, or of any foreign government to or from where a party is shipping, to in connection with the import, export or re-export, directly or indirectly, of any Software and/or Hardware in connection with this Agreement.

Time-Limited Claims:
Regardless of any Applicable Law to the contrary, you agree that any claim or cause of action arising out of or related to the Software or this Agreement, must be filed within 90 days after such claim or cause of action arose or be forever barred.

Information Gathering Forms in Email Format:
Online web pages which collect information and email this information to you are web-based information gathering systems. It is important to note that the definition of a single information gathering form is an online information collection mechanism that may consist of up to ten (10) information gathering fields. Therefore, a web page consisting of up to ten fields is considered to be the equivalent of one information gathering web page for billing purposes. If changes to an information gathering form are requested after this web page is “live”, an additional setup fee will be required before the additional technical work will begin.

Our Branding and Logos:
These terms do not grant you the right to use any branding, copyrighted material, images, intellectual property rights, logos, service marks, slogans, taglines or trademarks belonging to Complete Network, Inc. and/or our divisions without our written authorization prior to use.

PlatformHost members have an exclusive member benefit of their domain name(s) being placed into our private domain name registry. PlatformDomains is a full-service domain name registrar with many benefits you would need to pay extra for if using a different registrar, which includes our privacy protection services. While you are a PlatformHost member, your domain name will reside in the PlatformDomains domain name registry. This will assure you of the timely renewal of your domain name registration each year, provide your PlatformHost team access for setting and adjusting your DNS information as needed, and your PlatformHost team will be able to promptly receive and handle any notifications or complaints that may be issued against your domain name [from ICANN, ISPs, etc.]. Further, this assures you that your PlatformHost team will be able to provide the very best in domain name servicing and uptime for your website(s) and professional email-related services.

It is not possible to initially register or renew a domain name registration directly from PlatformDomains without being a PlatformHost member, as our domain name registry is an exclusive benefit for PlatformHost members only. If you no longer continue to be a PlatformHost member, your domain name will be unlocked, and you will be provided with an authorization code for you to use in relocating your domain name to another registrar. If you are no longer a PlatformHost member in good standing, and you continue to leave your domain name in PlatformDomains registry past your ending PlatformHost account date, special handling fees may apply.

Reservation of Rights:
Complete Network, Inc., in its sole and absolute discretion, expressly reserves the right to deny, cancel, terminate, suspend, lock, or modify access to (or control of) any PlatformHost Account or Services (including the right to cancel or transfer any domain name registration) for any reason, including but not limited to the following: (i) to correct mistakes made by Complete Network, Inc. in offering or delivering any Services (including any domain name registration), (ii) to protect the integrity and stability of, and correct mistakes made by, any domain name registry, (iii) to assist with our fraud and abuse detection and prevention efforts, (iv) to comply with court orders against you and/or your domain name and/or website and applicable local, state, national and international laws, rules and regulations, (v) to comply with requests of law enforcement, including subpoena requests, (vi) to comply with any dispute resolution process, (vii) to defend any legal action or threatened legal action without consideration for whether such legal action or threatened legal action is eventually determined to be with or without merit, or (viii) to avoid any civil or criminal liability on the part of Complete Network, Inc., its officers, directors, employees, contractors, affiliates and agents, including, but not limited to, instances where you have sued or threatened to sue Complete Network, Inc.

Server Abuse:
Any attempts to undermine or cause harm to a Complete Network, Inc. server, server contracted by us, facilities or equipment of Complete Network, Inc. is strictly prohibited. Complete Network, Inc. will pursue legal action to the fullest extent for all abuse of Complete Network, Inc.’s Network.

Spam and Unsolicited Email:
Spamming or the sending of unsolicited email from a Complete Network, Inc. server, or from a server contracted by us, or using an email address that is maintained on a Complete Network, Inc. machine, or on a machine contracted by us, is STRICTLY PROHIBITED. For general reference, we consider unsolicited email to be any email that is sent to more than 10 people at a time and of whom did not ask for the said email to be sent to them. Opt-in email is acceptable, as long as Opt-out/Removal requests are fully honored and handled promptly. Mailing list email addresses must be maintained regularly with server bounce notifications being promptly taken care of and specific instructions being provided by Complete Network, Inc. employees being followed completely. Complete Network, Inc. will, in its sole and absolute discretion, determine what constitutes a violation of this provision.

False Spam Complaints: In the event of a false spam complaint against one of our PlatformHost members, PlatformHost will defend our member against such false spam complaint, to the extent our time and resources allow, if the PlatformHost member’s domain name is in good standing and in our PlatformDomains registry. The PlatformHost member must be fully cooperative throughout this process and agrees to hold the PlatformHost Division and Complete Network, Inc. without any liability as to the outcome. Complete Network, Inc., in its sole and absolute discretion, will determine what constitutes a false spam complaint.

Successors and Assigns:
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors and assigns.

If any of this Terms of Service Agreement or related conditions are not followed, this will be grounds for account suspension or de-activation. Complete Network, Inc. reserves the right to suspend or remove any account without prior notice. If Complete Network, Inc. deactivates your account(s) for violating policy, you will forfeit your rights to a refund, and none will be given. There are no refunds for advance payments on deactivated accounts. Complete Network, Inc., in its sole and absolute discretion, will determine if and when an account is deactivated.

Technical Support:
Most PlatformHost account levels include a certain amount of technical support. The amount of technical support is good only for the particular period it is offered. Technical support does not roll forward into the next time period if it is not used. If a technical support amount goes unused, it will expire at the end of the period.

Technical support will be provided only in the manner selected for your PlatformHost account level. For example, if your technical support is to be provided by email, and you request a person-to-person meeting or initiate a telephone call with your account coordinator, there will be an additional charge to you for this type of technical support, and you will be billed accordingly. Complete Network, Inc., in its sole and absolute discretion, will determine if additional technical support charges will apply.

Submitting technical support requests are to be done with reasonableness, care and concern by each PlatformHost member. If Complete Network, Inc., in its sole and absolute discretion, determines you are submitting technical support requests which are frivolous in nature, contain obvious errors and/or omissions of necessary information in order for the technical support ticket to be completed, are excessive in number of submissions for the same technical support request or do not comply with specific instructions you have previously been given regarding the technical support submission process, your technical support team at Complete Network, Inc. may, in its sole and absolute discretion, temporarily delay or inactivate the particular technical support ticket(s). A temporary delay typically consists of a 72-hour “cooling off period” so the PlatformHost member can review the technical support tickets which have been submitted.

Technical support is handled with a “no-scream” influence. This means that each and every PlatformHost member receives the same level of care and attention to his/her technical support tickets as another member does. Technical support tickets are prioritized with regards to the type of technical work requested, along with consideration for the amount of time and skill level of the technical specialist(s) involved.

With respect to any emails (including but not limited to file attachments), feedback, suggestions or ideas (“Submissions”) that you submit to Complete Network, Inc. concerning the Technical Work, Software, Services, or any of Complete Network, Inc.’s products or services, you agree that: (a) your Submissions will automatically become the property of Complete Network, Inc., without any compensation to you; (b) Complete Network, Inc. may use or redistribute the Submissions for any purpose and in any way; (c) Complete Network, Inc. is not obligated to review any Submissions; and (d) Complete Network, Inc. is not obligated to keep any Submissions confidential.

Support Fees:
As a condition of the provision of the Services by Complete Network, Inc. under this Agreement, you shall pay Complete Network, Inc. the amounts set forth on your Website and Technology Services Invoice (“Support Fees”) in accordance with the payment terms listed on the face of each invoice and in agreement with the terms listed on the respective payment web page. It is each customer’s responsibility to make sure all invoices are paid in a timely manner. There are no grace periods for paying late and having a past due amount can automatically cause your account(s) to be suspended with or without notice until all outstanding amounts are paid in full [including but not limited to late fees, interest, legal fees and collection fees]. A $45.00 late fee will be added to each invoice that is not paid on time. During an account suspension, you may not attempt to fraudulently claim chargebacks of amounts you paid by debit/credit card(s), transfer electronic material(s) including but not limited to image files, document files, domain names, software, and other “virtual” types of property. If you attempt to do so, this will be considered theft and become a criminal offense. All Support Fees are subject to change at any time with or without prior notice.

Third-Party Support Services:
With all of the computing devices in today’s business environment, it is very important for our Complete Network, Inc. clients and PlatformHost members to be able to maximize their results by using and integrating various computing devices, components and services. However, this is not always an easy task. Therefore, we provide third-party support services for integration of your PlatformHost services and benefits with various computing devices and other online programs. A few examples of third-party support we provide are Paypal technical support for payment links and online payment processing on days when the Paypal offices are closed, email support for iPhones with regards to setting up and accessing PlatformHost email accounts on your iPhone, integration of PlatformHost professional mail services with Quickbooks software billing programs, etc. You agree to hold the PlatformHost Division and Complete Network, Inc. without any liability as to the results or outcome of third-party technical support. Complete Network, Inc., in its sole and absolute discretion, will determine if and when third-party support is provided.

Third-Party Website Links and Connections:
Complete Network, Inc., this Site and the Services found at this Site may contain links to third-party websites that are not owned or controlled by Complete Network, Inc. Complete Network, Inc. assumes no responsibility for the content, terms and conditions, privacy policies, or practices of any third-party websites, and we do not censor or edit the content of any third-party websites. Therefore, by using this Site or the Services found at this Site, you expressly release Complete Network, Inc. from any and all liability arising from your use of any third-party website.

Lost Profits; Consequential Damages:

Total Cumulative Liability; Exclusive Remedy:

Threats Against Employees/Contractors/Clients/Others:
Harassing or threatening Complete Network, Inc. and/or any employee, contractor, client or PlatformHost member are taken very seriously. Any and all associated Complete Network, Inc. accounts and any and all PlatformHost accounts of the person(s) making such harassment and/or threats will be promptly shut down and the proper authorities notified immediately. Complete Network, Inc. will pursue legal action to the fullest extent for all threats.

Titles and Headings:
The titles and headings of this Agreement are for convenience and ease of reference only and shall not be utilized in any way to construe or interpret the agreement of the parties as otherwise set forth herein. Each covenant and agreement in this Agreement shall be construed for all purposes to be a separate and independent covenant or agreement. If a court of competent jurisdiction holds any provision (or portion of a provision) of this Agreement to be illegal, invalid, or otherwise unenforceable, the remaining provisions (or portions of provisions) of this Agreement shall not be affected thereby and shall be found to be valid and enforceable to the fullest extent permitted by law.

User Content:
By posting or publishing User Content to this Site or to the Services found at this Site, you represent and warrant to Complete Network, Inc. that (i) you have all necessary rights to distribute User Content via this Site or via the Services found at this Site, either because “you” are the author of the User Content and have the right to distribute the same, or because you have the appropriate distribution rights, licenses, consents, and/or permissions to use, in writing, from the copyright or other owner of the User Content, and (ii) you do not violate the rights of any third party. Complete Network, Inc., in its sole and absolute discretion, may decide that User Content may be deemed inappropriate for website visitors’ viewing and not allow displaying of such content on any of its PlatformHost members’ websites.

It is your responsibility to keep a copy of all your files, images, data from information gathering forms, logos and all other electronic content stored within your PlatformHost account, which includes (but is not limited to) User Content kept in electronic briefcases (clouds) and/or database modules. Complete Network, Inc. shall be held without liability in the event this content is no longer retrievable by you, becomes deleted or altered, or becomes otherwise unavailable to you.

Website Abandonment:
As a PlatformHost member, you enjoy the high quality and level of PlatformHost features, benefits and tools for your websites and online business presence. If you purchase a PlatformHost account and then clearly do not communicate or interact with your PlatformHost team (technical specialists that are primarily responsible for your account), it may be determined that you have abandoned your website and its related online business presence. If after numerous emails, other electronic correspondence if applicable and/or phone calls to you from your account coordinator, it becomes clear to your PlatformHost team that you have no interest in keeping your website content up-to-date and do not care about the outcome of your non-responsiveness, your PlatformHost account may be moved into non-renewal status. As a non-renewal PlatformHost member, your account will no longer be in good standing, and you will be required to relocate your website to a new provider at the end of your PlatformHost membership term. Complete Network, Inc., in its sole and absolute discretion, will determine what constitutes website abandonment.

Website Building and Additional Site Development:
If you purchase a PlatformHost website package from us (which indicates that we will be the professional builder of your website or additional site development), the website building process will be considered finished when the first of either of the following events occur: 1) you no longer respond in a timely manner (within five business days) to email requests sent to you by your PlatformHost website building team regarding more information that is needed from you regarding your website or 2) the period of thirty (30) days from the date that you signed up for your website or additional site development to be built by PlatformHost has passed. Complete Network, Inc., in its sole and absolute discretion, will determine what constitutes the completion of the website building process.

The information we collect from you regarding your PlatformHost account, PlatformHost Plus account, or Complete Network, Inc. client account is used to customize the content and layout of our websites and online offerings for each individual visitor, used to notify our website accountholders about updates to our website (including, but not limited to: changes in features, techniques, website building tips, marketing tools, and other related topics), used by us in developing your inclusion into the Complete Network, Inc. backlinking program for increasing search engine results, shared with other reputable organizations to help them contact consumers for marketing purposes, and may be used by us for marketing purposes as well. Complete Network, Inc. takes a very positive, action-oriented approach in making sure that our website owners have websites that are successful in terms of website features, ease-of-use for website visitors, and to make sure that each website is set up well in terms of search engine optimization. In order to fully achieve these goals, you agree to receive email correspondence from us which primarily focuses on website services and developing a successful online business presence - and which, from time to time, may contain special offers that we believe are of interest to you. This electronic correspondence is considered a significant benefit of your PlatformHost membership.

If you supply Complete Network, Inc. with your postal address online, we will only use it for the purposes for which it was provided to us. Persons who supply us with their telephone numbers online will only receive telephone contact from us with information regarding orders they have placed online or information they have requested from us. We do not sell our listings of client databases to any other companies or organizations.

With respect to cookies, we use cookies to store visitors' preferences, to record session information (such as items consumers add to their shopping carts), to record user-specific information on what web pages users access or visit, to ensure that visitors are not repeatedly sent the same online ads (such as banner ads), or to customize web page content based on visitors' browser type or other information that the visitor sends. For further information regarding how we treat cookies, please refer to our Privacy Policy.

With respect to ad servers, we try to bring you offers that are of interest to you, we have relationships with other companies that we allow to place ads on our web pages. As a result of your visit to our websites, ad server companies may collect information such as your domain type, your IP address, and your click stream information. For further information, consult the privacy policies of our PlatformHost advertising partners.

With respect to payments you make for purchasing our products and services, we offer several various payment methods and terms. If you make a payment to us by check or e-check, and your check or e-check is returned unpaid for any reason, your PlatformHost account will be automatically suspended, and you will be charged a $45 (USD) returned check fee that must be paid before your account with us will be returned to good standing.

You hereby confirm that if you make a payment to us using a debit card or credit card that you agree to pay your financial institution in full accordance of your terms of agreement. If you make a payment to us by debit or credit card, and a chargeback is issued by your financial institution, you will be responsible for the entire amount we billed to you (as you will no longer be eligible for any credits which may have been issued on the face of your original invoice). In addition, you will be fully responsible for all collection costs and legal fees associated with our efforts used for collecting the amount of the chargeback.

At PlatformHost, we believe a PlatformHost member should be able to receive the entire membership term you pay for. Therefore, we do not pro-rate the calendar period of when a new PlatformHost member joins our services, and we do not pro-rate any of the remaining time period prior to a PlatformHost member leaving our services. Also, we do not require any pro-rated amounts or setup fees up front in order for you to open your PlatformHost account. Thus, if you cancel your account within a billing cycle, your account will remain open until the last day of your billing cycle as we use an end of billing cycle cancellation policy. In addition, we also do not charge early termination or exit fees.

While we will try to notify you when your renewal payments need to be made and offer easy-to-renew email payment links, it is each PlatformHost member’s responsibility to make sure that the PlatformHost renewal fees are paid by the date due in order to avoid the temporary suspension of website services and related features. If your PlatformHost account is suspended, this will cause all of your other related PlatformHost features and services to be terminated (since it is a requirement that you must be a PlatformHost member in good standing in order to access and use PlatformHost features and services). If your PlatformHost account is suspended, your account may be subject to a $45 reinstatement fee that must be paid prior to your PlatformHost account being returned to active status.
